Engagement Letter

This letter sets out exactly what Design Built Renos Ltd, operating as BattleBooks ("BattleBooks", "we") does for you as a subscriber, what we deliver, and what we need from you for it to work. It forms part of your agreement with us, together with the Terms of Service, Privacy Policy, and Refund Policy.
1. The Services
Bookkeeping
BattleBooks records and reconciles the Client's business transactions monthly, from the receipts, invoices, and statements the Client provides, and delivers monthly reports.
Payroll Preparation
Pay runs, source deductions, and remittance amounts are calculated, with year-end T4s and ROEs prepared, ready to file.
GST/HST
GST/HST is tracked, with each return prepared complete and ready to file ahead of its deadline.
Year-End & Income Tax
The Client's year-end package and income-tax return are prepared complete and ready to file.
Deadline Tracking
BattleBooks tracks the Client's CRA and provincial filing deadlines and delivers documents ahead of them.
Submission of Filings
The Client submits the filings. Everything BattleBooks prepares is delivered complete and ready to file; the Client (or their accountant) reviews and submits each filing to the CRA and pays any amounts owing. Once filing-ready documents have been delivered ahead of the deadline, submitting on time is the Client's responsibility.
2. Exclusions
No CPA Services
BattleBooks is not a CPA firm and does not provide audit, review, assurance, or any service that legally requires a designated CPA. If the Client's situation requires one, BattleBooks will say so.
No Legal or Investment Advice
BattleBooks does not provide legal or investment advice, and its communications are not formal tax opinions.
No Assurance
This is a no-assurance engagement: BattleBooks does not audit or independently verify the records the Client provides.
No CRA Representation
BattleBooks does not represent the Client in a CRA audit or dispute, and will provide the Client's representative with organized, complete records if one occurs.
3. Client Responsibilities
Records
The Client provides complete, accurate records promptly — receipts as they occur, statements as they arrive, payroll changes before the pay run.
Filing Cutoff
For deadline filings, the Client provides complete records at least five (5) business days before the applicable CRA deadline.
Review
The Client reviews deliverables and promptly notifies BattleBooks of anything that appears incorrect.
Submission & Payment
The Client submits filing-ready packages to the CRA on time and pays all amounts owing.
Document Retention
The Client retains original source documents; the CRA generally requires six years.
Disclosure
The Client discloses all business income, accounts, and material facts.
4. Service Commitments
Monthly Turnaround
Monthly books are reconciled and reports delivered within fifteen (15) business days of receiving the Client's complete records for the period.
Deadline Delivery
Filing-ready GST/HST and payroll documents are delivered ahead of each deadline, subject to clause 3.2.
Double Guarantee
As set out in the Refund Policy: CRA-ready within 30 days of complete records or that month is free; and a full-refund window applies in the first 30 days (monthly) or 60 days (annual).
5. Fees
Subscription
Fees are the Client's subscription, as published on the pricing page and governed by the Terms of Service.
Out-of-Scope Work
Work outside this letter — including multi-year catch-up beyond onboarding cleanup and CRA audit support — is quoted separately and agreed in writing before work begins.
6. Limitation of Liability
Reliance on Client Records
BattleBooks relies on the records and information the Client provides without auditing or verifying them, and is not liable for any error, omission, penalty, or loss arising from incomplete, inaccurate, or late information.
CRA Penalties & Interest
CRA penalties and interest are the Client's responsibility. The Client reviews, approves, and submits every filing and pays all amounts owing.
Liability Cap
BattleBooks' total aggregate liability for any and all claims arising out of or relating to this engagement, whether in contract, tort, or otherwise, is limited to the subscription fees paid by the Client in the one (1) month immediately preceding the event giving rise to the claim.
Consequential Damages
BattleBooks is not liable for indirect, incidental, consequential, or special damages, including lost profits or lost business. Nothing in this letter limits liability that cannot be limited under applicable law.
7. Confidentiality & Data
Privacy
The Client's information is handled in accordance with the Privacy Policy — held in confidence, never sold, stored in Canada, and protected with encryption.
Ownership & Export
The Client's books and records belong to the Client and are exportable at any time.
8. Term & General
Term & Termination
This engagement begins when the Client accepts this letter and continues until cancelled. Either party may end it at any time (in-app or by email to hello@battlebooks.ca).
Data Handover
On termination, BattleBooks will export and hand over the Client's books and records on request.
Governing Law
This letter is governed by the laws of Alberta and the federal laws of Canada.
Entire Agreement
Together with the Terms of Service, Privacy Policy, and Refund Policy, this letter is the entire agreement between the parties.
